Terms of Service

Please read these terms carefully. By installing or using Passa you agree to be bound by them. If you do not agree, uninstall the extension.

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your use of the Passa browser extension (“Passa”, “the Service”). By installing, enabling, or using Passa you agree to these Terms and our Privacy Policy. If you are using Passa on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Description of Service

Passa is a local-first, encrypted password manager distributed as a browser extension for Google Chrome, Microsoft Edge, and Mozilla Firefox. It stores credentials locally in your browser using strong encryption and optionally syncs your encrypted vault to a third-party cloud provider of your choice.

3. Licence

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use Passa for your own personal or internal business purposes. You may not:

  • Copy, modify, or distribute Passa except as permitted by the applicable open-source licence (if any).
  • Reverse engineer, decompile, or disassemble the compiled extension except to the extent permitted by law.
  • Use Passa to build a competing product or service.
  • Remove or alter any proprietary notices or labels.

4. Your Responsibilities

You are solely responsible for:

  • Your master password. We use zero-knowledge encryption - your master password is never transmitted to us and cannot be recovered by us. Forgetting it means losing access to your vault.
  • Your device security. Passa cannot protect credentials if your device, browser, or operating system is compromised.
  • Backups. You should regularly export your vault. We are not liable for data loss.
  • Third-party account credentials. You are responsible for the security of any cloud provider account you connect for sync.
  • Lawful use. You agree not to use Passa for any unlawful purpose or in any way that violates these Terms.

5. Third-Party Services

Passa integrates optionally with Google Drive and Dropbox. Your use of those services is governed by their respective terms and privacy policies. We have no control over, and accept no responsibility for, those third-party services.

6. Disclaimers

Passa is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or free of viruses or other harmful components.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, revenue, business, or goodwill, arising out of or in connection with your use of or inability to use Passa, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid for Passa in the twelve months preceding the claim or (b) USD $10.

8. Indemnification

You agree to indemnify, defend, and hold harmless Passa and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of Passa, your violation of these Terms, or your violation of any rights of another.

9. Privacy

Your use of Passa is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Changes to Terms

We reserve the right to modify these Terms at any time. When we do, we will update the “Effective date” above. Material changes will be communicated via an in-extension notice where feasible. Your continued use of Passa after changes are posted constitutes acceptance of the revised Terms.

11. Termination

You may stop using Passa and uninstall the extension at any time. We reserve the right to suspend or terminate your access if you breach these Terms. Upon termination, all licences granted herein will immediately terminate.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which we are incorporated, without regard to conflict-of-law principles. Any disputes shall be resolved in the courts of that jurisdiction, and you consent to personal jurisdiction there.
